1. Acceptance and eligibility

By accessing or using the service, you agree to these terms on behalf of yourself or the entity you represent. You must have the legal authority to bind that person or entity. You may use the service only in compliance with applicable law, contract, and professional obligations.

2. No medical, pharmacy, or legal advice

Suavo provides software, workflow support, and information about the service. Nothing on the website or platform is medical advice, legal advice, pharmacy counseling, or emergency guidance. Always rely on licensed professionals for those matters.

3. Accounts and acceptable use

You are responsible for account security, accurate information, and activity under your credentials. You may not misuse the service, interfere with operations, attempt unauthorized access, scrape non-public data, upload malicious content, or use the platform to violate privacy, labor, healthcare, or export laws.

4. Regulated workflows and implementation

Production use for regulated workflows may require separate order forms, service agreements, business associate agreements, security reviews, onboarding steps, and training. You remain responsible for confirming that your use of the service fits your legal and operational obligations.

5. Fees and pilots

Pricing, pilots, free trials, and implementation terms may be described on the website or in a separate commercial agreement. Unless stated otherwise in writing, posted materials are for informational purposes and may change. Taxes, third-party costs, and custom rollout work may be addressed separately.

6. Intellectual property

The service, software, workflows, visual design, documentation, trademarks, service marks, logos, and other materials are owned by MKM LLC, its affiliates, or licensors and are protected by copyright, trademark, trade secret, and other laws. Except for the limited right to use the service as allowed by these terms and any written agreement, you receive no ownership interest or license to copy, distribute, create derivative works from, reverse engineer, or otherwise exploit the platform or its confidential know-how.

7. Feedback and submissions

If you send suggestions, product ideas, or feedback, you grant us a non-exclusive, worldwide, royalty-free right to use that feedback to improve the service without compensation to you, unless a separate written agreement says otherwise.

8. Disclaimers

The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not warrant uninterrupted availability, compatibility with your internal systems, or that the service will satisfy every legal or operational requirement without your own review and controls.

9. Limitation of liability

To the maximum extent permitted by law, MKM LLC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the service. Nothing in these terms excludes liability that cannot legally be excluded.

10. Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Venue for disputes will lie in the state or federal courts located in California unless a separate written agreement provides otherwise.
